The Business
Our client is a pre-eminent provider of investment, advisor and financial services in selected international markets and it is seeking to appoint a midlevel lawyer to join its legal team, based in Hong Kong.

Our client conducts a wide range of activities including the provision of advisory services, debt arranging, equity and hybrid financing to corporate and government clients. The diverse range of this elite investment bank's client's advisory services includes project financing, privatization, divestments, takeover response, mergers and acquisitions, corporate restructuring and other corporate strategic and financial advice.

The Opportunity
Working closely with the legal and related business and investment groups, the successful candidate will be responsible for assisting with the management of legal matters for the bank's business in Asia, including:

• Reviewing transaction documentation for equity capital market transactions (IPO's, block trades and placements) and liaising with the relevant business team, external lawyers and other advisers;
• Reviewing transaction documentation for the bank's principal investments and liaising with the relevant business team, external lawyers, other advisers and internal approvers;
• Providing internal legal advice to the business groups of the bank that deals with equity capital markets and capital advisory matters and assisting with the structuring and execution of transactions;
• Ensuring that legal risks arising in the business' activities are appropriately monitored and managed;
• Ensuring that business' participation in transactions complies with applicable laws, rules and policies and commitments to regulators;
• Delivering appropriate training and advice to maintain awareness of legal issues relevant to business activities; and
• Occasional internal training/ seminars.

The Requirements
This position requires a lawyer with a sound understanding of corporate finance and M&A transactions and a good working knowledge and experience of the Hong Kong Listing Rules and Takeovers' Code. Fluency in English is essential and Chinese language skills would be preferred.
